Terms of Service

1. Who we are

The Five HR (the "Service", "Platform", "we", "us", "our") is a software-as-a-service recruitment and Egyptian payroll platform operated by [[ LEGAL ENTITY NAME ]] ("The Five"), a company [[ registered in the Arab Republic of Egypt under Commercial Registration No. XXXX ]], with its registered office at [[ FULL ADDRESS, EGYPT ]] and tax registration number [[ TAX ID ]]. 2. Acceptance of these Terms

These Terms of Service ("Terms") form a binding agreement between you (the "Customer", "you") and The Five governing your access to and use of the Service. By creating an account, clicking "I agree", or using the Service, you confirm that you have read, understood and agree to these Terms and to our Privacy Policy and Refund & Cancellation Policy, which are incorporated by reference. If you are entering into these Terms on behalf of an organisation, you represent that you are authorised to bind that organisation.

3. Definitions

  • Customer Data — all data you or your users upload to or generate in the Service, including candidate, employee, payroll and company records.
  • Authorised Users — your employees or contractors you permit to access the Service under your account.
  • Subscription — a paid plan for the Service once paid plans are introduced after the beta period.

4. Accounts & eligibility

You must be at least 18 years old and capable of forming a binding contract under Egyptian law. You are responsible for the accuracy of registration information, for safeguarding your login credentials, and for all activity under your account. Notify us promptly at security@thefive.space of any unauthorised use.

5. The Service

The Service provides tools to manage recruitment (candidate sourcing, hiring pipeline, interviews) and payroll (salary calculation, Egyptian income tax and social-insurance computation, payslips, bank-transfer files and statutory exports). The Service is a tool to assist you; you remain solely responsible for verifying outputs and for your own compliance with Egyptian labour, tax, social-insurance and reporting obligations. We do not provide legal, tax, accounting or financial advice.

6. Beta & free period

The Service is currently offered in a free beta for an introductory period of sixty (60) days per Customer, with no payment card required. During beta the Service may contain defects, change, or be interrupted. We may modify or end the beta, and introduce paid plans, on reasonable prior notice. Continued use after a paid plan begins is subject to the fees in section 7.

7. Fees & billing

When paid plans begin, fees, billing cycle and any applicable taxes (including VAT where due) will be presented before you subscribe and are payable in Egyptian Pounds (EGP) unless stated otherwise. Subscriptions renew automatically for successive periods unless cancelled before renewal. We may change pricing on prior notice effective at your next renewal. Cancellations and refunds are governed by our Refund & Cancellation Policy.

8. Your data

As between the parties, you own all Customer Data. You grant us a limited licence to host and process Customer Data solely to provide and support the Service. For personal data, we act as your processor and process it on your documented instructions in accordance with our Privacy Policy and Egypt's Personal Data Protection Law No. 151 of 2020. You are responsible for having a lawful basis (including any required consents) to upload personal data of candidates and employees.

9. Acceptable use

You agree not to: (a) use the Service unlawfully or to process data you have no right to process; (b) attempt to breach security, access other customers' data, or circumvent access controls; (c) reverse-engineer, scrape, or resell the Service except as permitted by law; (d) upload malware or infringing content; or (e) use the Service to send unlawful communications. We operate strict per-tenant data isolation; attempting to defeat it is a material breach.

10. Intellectual property

The Service, its software, design, and trademarks (including "The Five" and "The Five HR") are owned by The Five and its licensors. These Terms grant you a non-exclusive, non-transferable right to use the Service during your subscription. You retain all rights in Customer Data.

11. Third-party services

The Service relies on reputable sub-processors and infrastructure providers (for example, hosting, database, transactional email, and payment processing). Their processing is described in our Privacy Policy. We are not responsible for third-party services you separately connect to the Service.

12. Disclaimers

During beta the Service is provided "as is" and "as available" without warranties of any kind to the maximum extent permitted by Egyptian law. We do not warrant that the Service will be uninterrupted or error-free, or that payroll, tax or insurance figures will meet every obligation that applies to you — you must review and approve all outputs before relying on them. Nothing in these Terms excludes liability that cannot lawfully be excluded, including rights you may have under the Consumer Protection Law No. 181 of 2018 where applicable.

13. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, or loss of profits or data. Our total aggregate liability arising out of or relating to the Service is limited to the greater of the total fees you paid to us in the three (3) months before the event giving rise to the claim, or EGP 5,000. These limits do not apply to liability that cannot be limited under Egyptian law, or to either party's breach of confidentiality or infringement of the other's intellectual property.

14. Suspension & termination

You may stop using the Service and close your account at any time. We may suspend or terminate access for material breach (including non-payment once paid plans begin, or breach of section 9), or as required by law, with notice where practicable. On termination we will, on request made within 30 days, make a copy of your Customer Data available for export, after which we may delete it in accordance with our retention practices.

15. Changes to these Terms

We may update these Terms from time to time. We will post the updated version here with a new "Last updated" date and, for material changes, give reasonable notice. Continued use after changes take effect constitutes acceptance.

16. Governing law & jurisdiction

These Terms are governed by the laws of the Arab Republic of Egypt. The parties submit to the exclusive jurisdiction of the competent Egyptian courts of Cairo, without prejudice to any mandatory consumer rights to bring proceedings in another competent venue.

17. Seller information (Consumer Protection Law No. 181 of 2018)

In accordance with the pre-contractual disclosure requirements for distance contracts under the Consumer Protection Law No. 181 of 2018 and its Executive Regulations (Prime Minister's Decree No. 822 of 2019):
